These Terms & Conditions (“Terms”) govern your use of ditrapoint.com (the “Site”) and every service you engage Ditrapoint (“Ditra Point”, “we”, “us”, “our”) to provide (“you”, “your” or “client”). By using the Site, accepting a quotation or paying a deposit you agree to these Terms, our Privacy Policy, our Refund Policy and any quotation, proposal or agreement we issue to you (together, the “Agreements”). If anything in a quotation or agreement differs from these Terms, the quotation or agreement applies to that project. If you do not agree, please do not use the Site or our services.

Who We Are

Ditrapoint is a website design and digital marketing agency in Johor Bahru, Johor, Malaysia. In these Terms, the “Site” also includes our WhatsApp, email and any other channel we use to talk to you about our services.

Our Services

We design and build websites (One Page Website, Full Website and E-Commerce Website), run the Website Subscription and the Café Offer, build sales funnels (Lead Magnet Funnel, Appointment Booking Funnel and Long-Form Sales Page), run Google Ads and Meta Ads, provide search engine optimisation (SEO), develop web and mobile applications, host and maintain websites, and sell packages that combine them. The current scope and starting price of each service is on its service page and on the Pricing page. Bundled packages are on the Packages page.

We may decline any project or request, for any lawful reason and without giving a reason, before a quotation is accepted.

Use Of The Site

You must be at least 18 years old, and have the authority to bind the business you represent, to buy a service from us.

You may use the Site for lawful purposes only. You must not use it to post or send anything that infringes anyone’s rights, or that is threatening, abusive, defamatory, obscene, misleading or otherwise unlawful, or that encourages conduct that would be a criminal offence or give rise to civil liability. You may not copy our content, scrape the Site, try to break into it or use it to send spam.

Any information you give us, including your name, business details, email address, phone number and access credentials, must be accurate and up to date. You must not impersonate anyone else.

Quotations And Scope

• Prices on the Site are starting prices in Malaysian Ringgit (RM). Every project receives a written quotation with a fixed price, a defined scope and an estimated timeline before any work starts. The quotation sets the price for your project.
• A quotation is valid for 30 days unless it says otherwise. It is accepted when you confirm it in writing (email or WhatsApp is fine) or pay the deposit or first invoice. Once accepted, the price is fixed for the agreed scope.
• Anything outside the agreed scope, including additional pages, features, integrations, content, revisions beyond those included, or changes after approval, is quoted separately before we do it. Extra work by the hour is RM 120 /hour, quoted first above two hours.
• All prices are quoted and payable in RM.

Fees And Payment

One-Off Projects

Websites, funnels, packages and one-off SEO work are paid 50% on acceptance to start and 50% on launch or delivery. For projects above RM 5,000 you may ask for three instalments instead: on acceptance, on design approval and on launch. App development is paid by milestone, as set out in the quotation.

Work begins once the deposit has been received. Launch, final files and the handover of logins take place once the balance has been paid in full.

Monthly And Recurring Services

• Hosting and maintenance plans (Website Hosting, Website Maintenance and the Hosting & Maintenance Plan) are priced per month, have a 12-month minimum term and are billed annually in advance. After the first 12 months the plan continues month to month, with no termination fee.
• Website Subscription (and the Café Offer, which is the same plan for food and beverage businesses) is RM 128 a month, billed monthly in advance with no minimum term. It is open to Malaysian businesses only.
• Content SEO has a 6-month minimum term, billed monthly in advance.
• Advertising management (Google Ads, Meta Ads) is a one-time setup fee of RM 1,688, then a monthly management fee of 20% of your monthly ad spend with a minimum of RM 1,200 /month, unless your quotation states otherwise. The management fee is calculated on your actual ad spend and billed monthly for the month just ended.
• Ad spend is paid by you directly to Google, Meta or any other platform from an advertising account in your name. We never handle, hold or mark up your ad spend.
• Where an annual plan is offered or required, it is billed yearly in advance and is not refunded pro rata if cancelled during the year.

General

• Invoices are due within 7 days unless they say otherwise. If an invoice remains unpaid, we may pause work, suspend services (including hosting) or withhold delivery until it is settled, and charge interest at 1.5% per month on amounts more than 30 days overdue.
• Payment is by bank transfer, FPX or any method shown on the invoice. Payment processing fees charged by a payment provider are added to the invoice where they apply.

Deposits, Refunds And Cancellations

Deposits, refunds, project cancellations, client inactivity and our service guarantees are governed by our Refund Policy, which forms part of these Terms.

Monthly services can be cancelled as set out under “Service Terms” below. Cancellation takes effect at the end of the billing period in which notice is given, and fees already paid for that period are not refunded.

Your Responsibilities

• Provide, on time, the content, images, logos, product information, logins, feedback and approvals we need. Launch dates depend on this and move when it is late.
• Make sure everything you give us is yours or licensed for use, and does not infringe anyone’s rights or break Malaysian law. You are responsible for the accuracy of your content, prices, claims and offers.
• Keep your own logins, domains and accounts secure, and you are responsible for the actions of anyone you give access to. Respond to approvals within the timeframes in the quotation.
• Hold any licences your business needs to operate and advertise (for example, healthcare advertising approvals), and make sure your ads and claims comply with the rules of each platform, the advertising standards that apply to your business and Malaysian law.

If a project waits for your input for more than 30 days we may put it on hold or close it; see the Refund Policy for what happens then.

Revisions And Approvals

Every quotation states the number of design revision rounds included. A revision is a change to an agreed design; a change of direction after approval is new work and is quoted. Approval of a design, page or deliverable, whether given in writing, verbally or by instructing us to proceed, confirms that stage, and further changes to it are quoted at the hourly rate above. Approval is also given when a site goes live at your request.

Ownership And Intellectual Property

One-Off Builds

On full payment of a one-off project (a website, a funnel or a package) you own the website, the design, the copy we wrote for you and the content on it, and we hand over every login we hold for it. Until full payment, we own the work and you have a licence to review it.

Apps

For web and mobile app development, the source code becomes yours once every completed milestone has been paid in full.

What You Bring

You keep ownership of your logo, your brand, your text, your images and your data. You grant us a licence to use them to deliver the service.

Website Subscription And Café Offer

These are managed websites that we design, build, host and maintain for a monthly fee. We own the design, the code and the hosting for as long as the subscription runs, and you do not receive administrator access unless you buy the website out. You own your content, your domain and your data at all times, and we will export them for you on request. You may buy the website out at any time at the buyout price quoted on the service page or in your agreement; on payment, ownership and administrator access transfer to you and we move the website to hosting of your choice. If the subscription ends without a buyout, the website is taken offline.

What We Keep

We keep ownership of our own tools, templates, components, code libraries, know-how and anything we created before or outside your project, and may reuse them for other clients. We grant you a non-exclusive, perpetual licence to use them as part of your delivered project.

Third-Party Software

Themes, plugins, fonts, stock images and other third-party components are licensed under their own terms, which pass to you where the licence allows and may require ongoing fees paid by you.

Domains And Accounts

Domain names are registered in your own name. Advertising, analytics, Google Business Profile, payment gateway, app store and similar accounts are held in your name or your business’s name; we work in them with the access you grant, which you may revoke at any time.

Our Portfolio

We may show your project, including screenshots and a short description, in our portfolio and case studies unless you ask us in writing not to.

Our Site

The content of the Site, including our name, logo, designs, text, graphics and their selection and arrangement, belongs to Ditrapoint or its licensors and may not be copied, republished or reused without our written permission. Case studies and testimonials describe real work and are reproduced with the client’s knowledge.

Service Terms

Websites And Funnels

Delivered as described in the quotation. A launch means the site is live on your domain with the agreed pages. Browser and device support covers current versions of the major browsers.

Website Hosting And Maintenance

Hosting and maintenance plans include the services listed on the service page. After the 12-month minimum term you may cancel by telling us in writing before your next billing date, and the plan ends at the end of the paid period, with no termination fee. If you leave, we give you a full backup and help you move.

We take daily offsite backups and monitor uptime, but we do not guarantee uninterrupted availability. You are responsible for keeping your own copy of anything you cannot afford to lose. Our Hacked Website Guarantee applies to websites on an active maintenance or Hosting & Maintenance Plan whose updates are current: if the website is compromised, we clean it and get it back up and running at no extra cost. It does not cover damage resulting from credentials you have shared, changes made by you or third parties, or a website whose updates you have asked us not to carry out. We may suspend a site that is hacked, infected, breaking the law or putting other sites at risk, and will tell you promptly.

Maintenance plans include the number of hours stated for each month (1, 2 or 4). Unused hours do not roll over. Work beyond your plan’s hours is billed at RM 120 /hour, and we tell you before going over. Plans may be changed from the next billing period.

Website Subscription And Café Offer

The Website Subscription is billed monthly in advance and may be cancelled at any time with 30 days’ notice; the website stays live until the end of the month you have paid for. It includes one hour of edits a month, which covers changes to existing content and small layout adjustments; new pages, sections or features are quoted separately. Unused edit time does not roll over.

Under the Café Offer we design your website before you pay anything. If you decide not to go live, you owe nothing and no subscription starts. If you go live, the Website Subscription terms above apply.

Advertising

The setup fee is a one-off charge. Management runs for a one-month minimum term, then month to month until cancelled in writing before the next billing date, unless your quotation states otherwise. We manage your campaigns in your own ad account, with the starting budget agreed before launch.

Advertising platforms set their own policies and may reject, limit or suspend ads or accounts. We are not responsible for platform decisions, outages or changes to their rules, costs or algorithms. We do not guarantee any number of clicks, leads, sales or a particular cost per result.

SEO

Content SEO runs on a 6-month minimum term, after which it continues month to month until cancelled with 30 days’ written notice. One-off SEO work (Existing Content Optimisation and Technical SEO) is billed as a one-off project. Search engines decide rankings: we do not guarantee any position, traffic or revenue, and we never use techniques that break search engine guidelines. Articles and other content we produce for you become yours once paid for.

Apps

App development is quoted in milestones with a demo every two weeks. Hosting, app store developer accounts and third-party subscriptions are paid by you directly. App store approvals are the store’s decision.

Packages

Packages combine the services above and follow the terms of each service included, together with any minimum term, notice period, included month of advertising management or other conditions set out in your quotation or on the package page.

Support After Launch

Bug fixes and small text or image changes in the first 30 days after launch are included. After that, changes are covered by a maintenance plan or billed as ad hoc work at the hourly rate above.

Guarantees

Where a service page or our Refund Policy states a guarantee, that guarantee applies to that service in addition to, and prevails over, these Terms.

Third-Party Services And Costs

Our services rely on third-party providers such as domain registrars, hosting infrastructure, payment gateways, advertising platforms, app stores, email providers and software vendors. Their fees, terms, availability and decisions are outside our control.

Domains, hosting bought in your name, ad spend, stock images, premium plugins, email services, payment gateway fees and any other third-party subscriptions are paid by you directly to the provider unless the quotation says we include them. Where we buy something on your behalf we invoice it at cost.

The Site may link to third-party websites. We are not responsible for their content, availability or policies.

No Guarantee Of Results

We will do our work with reasonable care and skill. We cannot guarantee any business result from a website, a funnel, an advertising campaign or SEO, including rankings, traffic, leads, sales, return on ad spend or cost per lead, because results depend on your market, your offer, your pricing, your follow-up and factors outside our control. Examples of past work or results are not a promise of future results.

Information on the Site, including our articles, is provided for general guidance and may change. It is not professional, legal or financial advice.

Confidentiality

Each of us will keep the other’s non-public business information confidential and use it only for the project, during the engagement and for 2 years after. This does not apply to information that is already public, that you have agreed we may show in our portfolio, or that the law requires us to disclose.

Limitation Of Liability

To the fullest extent Malaysian law allows, our total liability to you for any claim arising from a service is limited to the fees you paid us for that service in the 12 months before the event giving rise to the claim. We are not liable for loss of profit, revenue, data, business, opportunity or goodwill, or for indirect, incidental, special or consequential loss, however it arises. Nothing in these Terms limits liability that cannot be limited by law.

Indemnity

You will indemnify us against any losses, claims, costs and expenses, including reasonable legal fees, arising from your breach of these Terms, from content, images or data you supplied, from your products or services, or from your use of a website, funnel or campaign in a way that breaks the law, a platform’s rules or a third party’s rights.

Suspension And Termination

We may suspend or end a service if you breach these Terms, fail to pay an invoice when due, or use a service unlawfully. Either of us may end an engagement by written notice if the other seriously breaches these Terms and does not fix it within 14 days of being told. On termination you pay for work done up to that date, and the Refund Policy applies to any deposit or prepaid fees. Termination does not affect fees already due. Clauses that by their nature should continue, including ownership, payment, confidentiality, limitation of liability, indemnity and governing law, survive termination.

Governing Law And Disputes

These Terms are governed by the laws of Malaysia.

If a dispute arises, both of us will first try to resolve it in good faith by discussion. If it is not resolved within 30 days, either of us may refer it to mediation in Johor Bahru, with the mediation fees shared equally. If it is not resolved within 60 days of that referral, either of us may bring the matter before the courts of Johor Bahru, Johor, Malaysia, which will have exclusive jurisdiction.

General

• Entire agreement. The Agreements are the whole agreement between us for a service and replace any earlier discussions or proposals. If these Terms conflict with your quotation, the quotation prevails for that project.
• Waiver. If we do not enforce a provision, that is not a waiver of it, and no waiver is binding unless given in writing.
• Severability. If any part of these Terms is unenforceable, the rest still applies.
• Assignment. You may not transfer your rights or obligations under these Terms without our written consent.
• Events outside our control. Neither of us is responsible for delays caused by events outside our reasonable control.
• Notices. Notices may be sent by email or WhatsApp to the addresses we have used with each other.
• Headings. Headings are for convenience only and do not affect interpretation.

Changes To These Terms

We may update these Terms from time to time. Changes take effect when posted on this page, and the date at the top will be updated. The version on the Site when you accept a quotation is the one that applies to that project, and changes do not affect a quotation already accepted unless we both agree in writing. Continued use of the Site or our services after a change means you accept the updated Terms.
